TERMS AND CONDITIONS
SCI Analytical shall sell the products offered only as Buyer agrees and adheres to the following terms and conditions.
A: Pricing and Payment Terms
All pricing is F.O.B unless indicated otherwise. Buyer is responsoble for all freight, storage, handling, insurance and other charges related to shipment F.O.B. our facility, or delivery. Buyer will pay amount of any tax, sales use or excise imposed by reason of sale o delivery.
Terms of payment is net 30 days. A late Fee of 1.5% will apply on all overdue accounts. SCI, Inc., reserves the right to change pricing and contractual price or that price in effect at time of shipment will be billed.
B. Warranty
SCI, Inc. warrants that products will meet specifications listed in the catalog, will be properly contained, labeled, packaged in accordance to those listed on the container label. SCI, Inc. shall replace any product purchased which does not conform to the above warranty, provided the product is returned to SCI, Inc. for products based on warranty or negligence shall not exceed the purchase price of the product under such claim.
SCI, INC HAS NO OTHER WARRANTIES OTHER THAN THAT SPECIFIED IN SECTION B ABOVE (WARRANTY PROVIDED IN UNIFORM COMMERCIAL CODE ARE FULLY APPLICABLE). SCI, INC. HAS NO OTHER
WARRANTIES, WRITTEN OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR USE OR WARRANTY OF MERCHANT ABILITY.
C. Hazards and Warnings
Buyer shall be fully informed that hazards are associated with the use of the products listed within this catalog. Hazards and warnings are listed with each pure gas product (And which fully apply to mixtures of that gas) and molecular sieve products. Buyer is compelled to provide notification to warn all personnel of these hazards and warnings as related to these products.
Buyer assumes all responsibility for use and suitability: and results of use of any of the products as pure gas products or in any process or procedure including, but not limited to manufacturing and medical uses. SCI shall not be liable for any resulting damages.
D. Cylinders
Gas products purchased in returnable cylinders may require a charge for use. Returned cylinders remain the property of SCI, Inc. at al times and must be returned in appropriate condition. Cylinders must be non-contaminated with sufficient pressure to prevent contaminants. Valves and dust plugs must be tightly closed. Buyer will be monetarily responsible for any damage, beyond normal wear to returnable cylinders in buyers possession. The cost of all products shipped or delivered in lecture bottles (LB).
E. Contingencies
Both Buyer and SCI, Inc. shall not be liable in the event of any contingencies beyond reasonable control; including but not limited to, natural disaster Act of god, acts of war, sabotage, labor disturbance, government law, ordinance, rule or regulation, whether valid or invalid, depletions or unavailability of electricity or other type of energy, material, labor or equipment or transportation or any other similar or different contingency which would result in default or delay of the performance of service including sale, shipment or delivery of products.
All terms and conditions for purchase of products from SCI, Inc. are represented above. Any other terms or conditions, different from or in addition to those represented above, and in any form issued or accepted for the products shall be considered null and void.
IMPORTANT
